(hereinafter referred to as NLI)
Standard Terms and Conditions of Sale
1. SHIPPING TERM
All prices quoted are in Ex-Works (NLI’s Petaling Jaya). The Customer bears all the costs and carries all the risk in transporting the goods from NLI’s Petaling Jaya to destination. All costs related to the transport of goods, as well as charges associated with exporting and importing, including shipping charges, handling, documentation fee, import duties, import licences, taxes, insurance, and etc. are to be borne by the Customer. Risk of loss or damage to the products is transferred to the Customer as soon as the goods leave NLI’s premise.
In order to obtain confirmation on the availability of the stocks ordered, Purchase Order must be faxed or emailed to NLI seven (7) working days in advance.
2. PAYMENT
Customer shall make payment in full via telegraphic transmission (TT) before shipment. All fees are borne by the the Customer. All payment must be made in advance in favour of TOTAL REACH MARKETING SDN BHD. Upon receiving the clearance of payment made by customer, NLI will arrange the delivery accordingly.
3. ONUS OF CLEARANCE
Onus of clearance of products from the relevant authorities lies with the Customer.
4. TIME OF DELIVERY AND PERFORMANCE
Any date or time for delivery of products or performance of services given by NLI to the Customer shall be an estimate only. NLI shall not be liable for any loss or damage howsoever arising by reason of any failure on the part of NLI to effect delivery to or performance for the Customer at the time or date stated.
5. CHECKING GOODS
In the event when the packaging material is not tempered or broken, however the Customer finds the goods received do not agree with the supporting documents (Packing List and Invoice) the Customer must report such discrepancy to NLI within 48 hours upon receipt of goods, failing which such claim will not be considered.
6. FORCE MAJEURE
NLI shall not be held liable for any delay or failure to perform due to any cause beyond its reasonable control, including but not limited to acts of God, acts of governments, natural catastrophes, acts of Customer, perils of the sea or air, riots, civil commotion, war, rebellion, strikes, breakdown of machinery, sabotage or embargo, interruptions of transportation or inability to obtain necessary labour or materials.
NLI’s estimated shipping schedule shall be extended by a period of time equal to the time lost due to any excusable delay. In the event NLI is unable to perform in whole or in part due to any excusable failure to perform, NLI may cancel orders without liability to Customer.
7. GOVERNING LAW
Disputes arising in connection with these Terms and Conditions of Sale shall be governed by the laws of Malaysia without regard to principles of conflicts of laws, and exclusive jurisdiction shall be in the Courts of Malaysia.
8. ADHERENCE TO LAWS, ORDINANCES AND APPLICABLE LEGISLATION
Customer must obey all laws ordinances and applicable legislation that apply to your business, and Customer is responsible for paying the relevant taxes.
